Welcome to Hibernation Labs. These Terms and Conditions ("Terms") govern your use of our website design, development, and maintenance services (the "Services").
By purchasing, subscribing to, or using our Services, you ("Client", "you", or "your") agree to be bound by these Terms. If you do not agree with these Terms, you may not use our Services.
Hibernation Labs ("we", "us", or "our") provides subscription-based website design, development, hosting, and maintenance services. These Terms constitute a legally binding agreement between you and Hibernation Labs.
Hibernation Labs offers three standard monthly subscription plans:
Feature availability and scope depend on your selected plan. Each plan includes ongoing hosting, maintenance, and support as described on our website.
Advanced Projects: For projects requiring custom functionality, advanced workflows, or features beyond standard plans, you may apply for an Advanced Project. Acceptance is subject to our review and approval. Advanced Projects are subject to separate scope agreements and may have different pricing and terms.
As the Client, you agree to:
You are solely responsible for the legality, accuracy, and appropriateness of all content, claims, images, and materials you provide. Hibernation Labs is not responsible for verifying the accuracy or legality of your content.
We aim to deliver initial website builds within 24–72 hours of receiving all required content and assets from you. This is an estimated timeframe and not a guarantee.
Delivery timelines depend on several factors including:
Delays caused by missing content, late feedback, scope changes, or external factors beyond our control may extend delivery timelines. We will make reasonable efforts to communicate any expected delays.
Each subscription plan includes a reasonable number of revisions and updates per month:
A "revision" includes changes to existing content, text updates, image replacements, minor layout adjustments, and bug fixes within the scope of your plan.
The following are not considered revisions and may require additional fees or a plan upgrade:
If you exceed your monthly revision limit, additional changes can be scheduled for the following month or may require upgrading to a higher plan. We will notify you if a requested change is outside your plan's scope.
Billing Cycle: All subscription plans are billed monthly in advance. Your subscription automatically renews on the same day each month unless you cancel.
Payment Methods: We accept major credit cards and other payment methods as displayed during checkout. By providing payment information, you authorize us to charge your payment method for your subscription fees.
Automatic Renewal: Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date.
Failed Payments: If a payment fails, we will attempt to process payment again. After multiple failed attempts and a reasonable grace period, your Service may be suspended or terminated. You are responsible for maintaining valid payment information.
Refunds: Subscription fees are non-refundable. We do not provide refunds for partial months of service, except where required by applicable law. If you cancel, your access continues through the end of your paid billing period.
Taxes: All fees are exclusive of applicable taxes, levies, or duties. You are responsible for payment of all such taxes, except for taxes based on our net income.
You may cancel your subscription at any time by contacting us at the email address provided in Section 18 below or through your account settings if available.
Upon cancellation:
We recommend downloading any important content or data before cancellation. We are not responsible for data loss after cancellation or termination of Services.
Hibernation Labs reserves the right to suspend or terminate your access to the Services immediately, without prior notice, for any of the following reasons:
If your Service is suspended, we may display a suspension notice or placeholder page in place of your website.
Upon termination, your website will be unpublished and removed from our hosting. We are not responsible for backing up or providing access to your data after termination.
Hosting: All subscription plans include website hosting on our infrastructure or selected third-party hosting platforms. Hosting is provided as part of your subscription and remains active while your subscription is current.
Domains:
Third-Party Services: Your website may integrate with third-party services such as booking systems, payment processors, email providers, or analytics tools. These services are subject to their own terms and privacy policies. We are not responsible for:
Client Content: You retain full ownership of all content, images, logos, trademarks, text, and materials you provide ("Client Content"). By providing Client Content, you grant us a limited license to use, display, and modify it solely for the purpose of delivering the Services.
Hibernation Labs Work Product: We retain ownership of all code, templates, frameworks, design systems, tools, and reusable components we create or use in delivering the Services ("Work Product"). This includes underlying code architecture, proprietary frameworks, and any elements we use across multiple client projects.
License to Client: Upon full payment and while your subscription is active and in good standing, we grant you a non-exclusive, non-transferable license to use the delivered website and its components for your business purposes.
You may not resell, redistribute, or claim ownership of our underlying code, templates, or proprietary systems. If your subscription terminates, the license may be revoked, and your website may be unpublished.
You agree not to use the Services for any unlawful or prohibited purposes, including but not limited to:
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your Services without refund.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Hibernation Labs does not warrant that:
We will make commercially reasonable efforts to provide reliable and high-quality Services, but we cannot guarantee specific results or uptime.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIBERNATION LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you, and our liability will be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Hibernation Labs, its officers, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
